Türkiye pushes the minimum capital deadline to 31 December 2027

A Ministry of Trade communiqué in Official Gazette No. 33403, dated 17 October 2026, gives joint stock and limited companies until 31 December 2027 to bring their capital up to the new minimum amounts. It covers companies below the thresholds set in the Turkish Commercial Code, and it took effect on the day it was published.

01 · WHAT HAPPENED?

A gazette communiqué gave companies more time to raise capital

The Ministry of Trade published its communiqué on extending the period for joint stock and limited companies to raise their capital to the new minimum amounts in the Official Gazette (Resmî Gazete) of Saturday, 17 October 2026, issue 33403. Bloomberg HT reported the same story at 00:27 that day and cited the communiqué by name.

Article 2 deals with the period set by the first paragraph of provisional Article 15 of Turkish Commercial Code No. 6102. The original Turkish text says that period has been extended to 31/12/2027. In practice, companies now have until 31 December 2027 to complete the increase.

02 · DETAILS

Two groups of companies are covered, and the text applies from publication

The first group is joint stock and limited companies whose capital sits below the amounts in Articles 332 and 580 of Code 6102. The second is non-public joint stock companies that have adopted the registered capital system. For these, the extension applies where the initial capital and the issued capital are below the amounts named in those articles.

The communiqué rests on Article 210 and provisional Article 15 of the Code. Article 3 makes it effective on its publication date, and Article 4 assigns enforcement to the Minister of Trade. Bloomberg HT describes the same scope and the same end date.

03 · WHY IT MATTERS

The planning calendar gets longer, but the official text still decides the details

For founders whose existing company has capital below the statutory amounts, the date that matters is now 31 December 2027. From the day the communiqué was published, that leaves a little over 14 months to plan budgets and shareholder structures. For e-commerce and digital businesses started with modest capital, the accounting calendar can be rebuilt around that date.

That reading is UNALSOFT's own; the communiqué itself only regulates the period and its scope. This is not legal or financial advice. For your own company's position, speak to your financial advisor or other qualified professional.

04 · TÜRKİYE

This is a Turkish rule, though some details are missing from the sources

The rule applies entirely within Türkiye. It appears in the 17 October 2026 Official Gazette, issue 33403, and rests on the Turkish Commercial Code. So this section reports facts from the sources rather than commentary.

We read both sources through and did not find three things: the figures for the new minimum capital amounts, the previous deadline, and what happens to a company that misses the date. On these points the communiqué gives only the new date, and the Bloomberg HT report adds none of them. We covered another new Ministry of Trade rule on 15 October; that topic is separate from this one.

The UNALSOFT view

For teams planning an e-commerce setup with an existing company, the practical effect is on the calendar. It is hard to sequence spending on a domain, payment infrastructure or ad budget before the company type and capital structure are settled, and this communiqué moves that end date. If you prefer to go step by step, settle the legal structure with your financial advisor first, then make system decisions such as an e-commerce panel. For the amounts and possible consequences, review the relevant articles of the Code with your financial advisor; this article is not legal advice.
